Smart Desk Automation does not provide medical, legal, or clinical advice.

Any automated communications, scheduling, or intake services are administrative in nature only. Clients are solely responsible for:

  • Medical, legal, or professional decisions

  • Compliance with industry regulations (including HIPAA, if applicable)

  • Accuracy of information provided to end users


3. Client Responsibilities

You agree to:

  • Provide accurate and lawful information

  • Use the Services only for legitimate business purposes

  • Ensure compliance with all applicable laws and regulations

  • Obtain any required consent from your customers or patients (including call recording and SMS consent)

  • Maintain confidentiality of login credentials

  • Supervise automated systems and review outputs regularly

You acknowledge that automation is not error-free and requires human oversight.


4. Communications Consent

By using our Services, you acknowledge and consent that:

  • Calls may be recorded for quality assurance and training

  • SMS, voice, and chat interactions may be logged

  • Automated messages may be sent on your behalf

You are responsible for ensuring compliance with:

  • TCPA

  • CAN-SPAM

  • State and federal call recording laws

  • Any applicable industry-specific regulations


5. Payments and Fees

Fees for Services are agreed upon separately through proposals, invoices, or subscription plans.

Unless otherwise stated:

  • All fees are non-refundable

  • Late payments may result in suspension or termination of Services

  • Prices are subject to change with notice

Third-party fees (e.g., SMS, call minutes, software licenses) may apply and are your responsibility.


6. Intellectual Property

All content, software, workflows, designs, trademarks, and materials provided by Smart Desk Automation remain our intellectual property unless otherwise agreed in writing.

You may not:

  • Copy, resell, sublicense, or reverse-engineer our systems

  • Use our branding without permission

  • Remove proprietary notices


7. Third-Party Services

Our Services may integrate with third-party platforms (e.g., CRM, telephony, payment processors).

We are not responsible for:

  • Third-party outages or failures

  • Data loss caused by third-party services

  • Changes to third-party pricing or policies

Use of third-party services is subject to their own terms.


8. Service Availability & Limitations

We do not guarantee:

  • Continuous or uninterrupted service

  • Perfect accuracy of AI-generated responses

  • Specific business outcomes or revenue increases

You acknowledge that automation systems may experience downtime, errors, or limitations.


9. Termination

We reserve the right to suspend or terminate Services immediately if:

  • These Terms are violated

  • Services are used unlawfully or abusively

  • Payment obligations are not met

  • Use poses legal, security, or reputational risk

Upon termination, access to Services may be revoked without refund.


10. Limitation of Liability

To the maximum extent permitted by law:

  • Smart Desk Automation is not liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed the amount paid by you to us in the preceding 3 months

  • We are not responsible for lost revenue, missed appointments, or business interruptions

Use of the Services is at your own risk.


11. Indemnification

You agree to indemnify and hold harmless Smart Desk Automation from any claims, damages, liabilities, or expenses arising from:

  • Violations of laws or regulations

  • Communications sent on your behalf

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Orange County, California.
